Product licenses and notices
Quivio Products are licensed, not sold. Each Product is subject to its own license terms, documentation, or notices that accompany the Product. Those terms control your use of the Product, and if there is a conflict between those terms and these Terms of Use, the Product license terms govern.
Use of the site and Products
- You must use the site and Products in compliance with applicable laws and regulations.
- You are responsible for maintaining the confidentiality of any credentials or access keys.
- Do not interfere with or disrupt the integrity, security, or performance of Quivio systems.
Acceptable use
- Do not use the site or Products for unlawful, harmful, or fraudulent activities.
- Do not reverse engineer or attempt to access source code except where expressly permitted.
- Do not copy, resell, or distribute Products outside the scope of the applicable license.
Intellectual property
Quivio and its licensors retain all rights, title, and interest in the site and Products. The Quivio name, logo, and related marks are trademarks of Quivio.
Third-party services
The site or Products may include or rely on third-party services. Your use of third-party services is governed by their respective terms and policies.
Feedback
If you provide feedback or suggestions, you grant Quivio a non-exclusive, perpetual license to use, modify, and incorporate that feedback without obligation to you.
Disclaimers
The site and Products are provided on an "as-is" and "as-available" basis. To the maximum extent permitted by law, Quivio disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the maximum extent permitted by law, Quivio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill.
Indemnification
You agree to indemnify and hold harmless Quivio from any claims, damages, liabilities, and expenses arising from your use of the site or Products or your violation of these terms.
Termination
We may suspend or terminate access to the site or Products if you violate these terms or applicable licenses. Sections intended to survive termination will survive.
Governing law
These terms are governed by the laws of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Changes to these terms
We may update these terms from time to time. If we make material changes, we will update the effective date and post the revised terms here.
